Corporate governance is the system that directs and controls the firm’s operations of its
business model and strategy. Furthermore, corporate governance also includes the
relationship among the stakeholders of a company, such as the board of directors, supervisory
board, shareholders, financial providers, customers, suppliers, etc. It is evident that corporate
governance requires professionalism of the company’s applied systems, processes, policies,
decisions and operational activities. This book discusses the principles, practices and
challenges of corporate governance in several different settings.
Chapter 1 - From the Agency Theory point of view, the role of the board of directors is
critical for supervision as well as for the control performed over management, preventing
opportunistic behavior by shareholders in general and particularly by controlling shareholders
against minority shareholders. Some corporate scandals (Enron, WorldCom, Nortel Networks
and AIG, among others) have led to a growing interest on the quality of corporate government
because all of those failed firms showed failures in their corporate governance. The
delimitation of board functions and the identification of new good practices that allow them to
perform their role properly and efficiently is one of the main challenges for governments and
regulators in order to ensure their control mechanism duties, whilst restoring the confidence
of decision-makers

حاکمیت شرکتی سیستمی است که عملیات شرکت را هدایت و کنترل می کند
مدل و استراتژی کسب و کار علاوه بر این، حاکمیت شرکتی شامل
نیز می شود رابطه بین ذینفعان یک شرکت مانند هیئت مدیره، نظارت
هیئت مدیره، سهامداران، ارائه دهندگان مالی، مشتریان، تامین کنندگان و غیره. بدیهی است که شرکت ها
